General Meeting

The General Meeting is established by Article 12.3 of ORDEPO’s constitution. The Organization shall in each year hold a General Meeting as the Annual General Meeting, in addition to any other meetings in that year and shall specify the meeting as such in the notice calling it. Not more than fifteen months shall elapse between the date of one Annual General Meeting of the Organization and that of the next. The Annual General Meeting shall be held at such time and place as the Board shall appoint. The Annual General Meeting shall be called Ordinary General Meeting and all other general meetings shall be called Extraordinary General Meetings

The Management Structure

The Chief Executive Officer shall head the secretariat and shall be assisted by the employees of the Organisation to manage the day-to-day affairs of the  Organisation.  The management may pay all expenses incurred in setting up and registering the Organisation and may exercise such powers of the Organisation as are required by the constitution to be exercised to achieve the objectives of the Organisation. No regulations made by the Organisation in a General Meeting shall invalidate any prior act of the management, which would have been valid, if such regulations had not been made. The Chief Executive Officer shall be an ex-officio member of and may be Secretary to the Board.

Board of directors

The board of the director is established by the Article 11.2 of the constitution and is elected by the annual general meeting(AGM). The board is mandated to ensure that the organization is guided by its mission vision core values guiding principles and objectives in its operation. The board also ensures that the organization operates within its mandate preserves its values and operates as responsible and respected corporate citizen. Broadly the role of the board is to:

  1. Provide strategic guidelines and direction to the organization
  2. Provide overall oversight to the business and operation of the organization.
  3. Formulate and ensure compliance with policy
  4. Formulate strategy to provide the organization with long term direction.
  5. Guide the development of the new programs
  6. Ensure that the organization builds nurtures and sustains a strong public image.

The board is made up at least five and not less than nine members
